The U Group acquisition is one of the most satisfying stories in the Founder Institute portfolio this year. NielsenIQ (NIQ), a leading global consumer intelligence company, is acquiring The U Group & Co, the Perth-based company behind the ReceiptJar app. Its founder and CEO, Tyler Spooner, is a graduate of the Perth Founder Institute.
It is a big moment for Tyler and his team, for the Western Australian startup scene, and for every founder who has been told that a company built far from Silicon Valley can't end up on a global buyer's shortlist.
Here is what the deal involves, why NIQ wanted The U Group, and the path that got it there.
What NIQ announced
On September 22, 2026, NIQ said its Australian subsidiary, Nielsen Connect Australia, had launched a friendly, off-market takeover offer for all shares of The U Group. The U Group's board unanimously recommended that shareholders accept.
The offer needed 90% of shareholders to say yes. On October 8, NIQ confirmed it had passed that 90% acceptance threshold, which allows it to move to compulsory acquisition of the remaining shares under Australian law. The final steps are now working through that process. Financial terms were not disclosed.
Why NIQ wanted The U Group
The U Group built its business around a simple idea: ask people first.
Through ReceiptJar, shoppers choose to share their receipts and get paid for them. Brands, in turn, get purchase data from real people who agreed to share it. NIQ describes this as first-party, consumer-consented purchase data, backed by The U Group's receipt intelligence and AI-powered data processing.
For NIQ, the appeal is clear. The company says ReceiptJar's purchase signals will sit alongside its existing consumer panel and Homescan products to give clients a fuller picture of how people actually shop.
The AI angle is front and center in both announcements. NIQ CEO Jim Peck put it this way: "We believe AI is only as effective as the intelligence behind it." He also noted that NIQ had worked with The U Group for five years and knew the value of what the team had built.
In the October update, NIQ's Chief AI and Product Officer, Troy Treangen, pointed to how fast buying habits are changing: "Every new way to shop creates a new measurement challenge for brands and retailers." He added that as AI agents start to influence what people buy, linking those decisions to actual purchases becomes essential.
Tyler sees the same future. In NIQ's announcement, he said consumer intelligence will increasingly be powered by "the combination of trusted data, consumer participation, and AI-driven innovation."
From Perth grocery deliveries to consumer data
Tyler's path to this deal did not start with receipts.
Back in 2018, when Founder Institute featured him as a Perth graduate, he was running Unocart, an on-demand grocery delivery service in Perth. Even then, data was at the heart of the product. Unocart's SmartCart tool compared grocery prices across supermarkets in real time and suggested cheaper swaps for shoppers.
That interest in how people shop became the foundation of The U Group. Its ReceiptJar app launched in Australia in 2019, then expanded to the US in 2021 and to Brazil and Canada in 2022, as SmartCompany reported.
The growth that got it noticed
By the time NIQ made its move, The U Group had built serious scale. When EY named Tyler a national finalist for EY Entrepreneur Of The Year 2025 in Australia, it described The U Group as the leading shopping app in Australia, processing more than 81 million receipts a year.
Founder Institute took notice too. The U Group made the FI 50 list of the fastest-growing Founder Institute companies of 2026, which recognized it as an ethical data marketplace connecting brands and consumers through consent-based data.
What this means for the Founder Institute community
Every exit in the portfolio adds to a bigger story. Founder Institute has helped launch 9,000+ companies since 2009, and its portfolio has recorded 200+ exits, according to the FI program page. The U Group now joins that list as one of the most memorable.
For founders in the program today, the story carries a few clear lessons.
Early ventures count. Unocart was already built around shopping data before ReceiptJar launched. The work you put into an early idea can shape the company you end up building.
Trust can be a business model. The U Group built its value on consent, and that is exactly what a global buyer said it wanted.
Long relationships lead to deals. NIQ had worked with The U Group for five years before making an offer. The partners you serve well today may become your acquirers tomorrow.
Location is not a ceiling. A company from Perth built something a NYSE-listed global leader decided it needed.
Congratulations to Tyler and the whole team at The U Group. The entire Founder Institute network is celebrating with you.
